Abstract :This paper analyzes the regulation of directors of capital companies in Spain compared with the management model of joint stock companies followed by the Turkish Commercial Code No. 6102. The Spanish model and its legal solutions may serve to further reform of the rules of the management of joint stock companies in Turkey.
